In these Terms, the following definitions apply:

• “Company” / “We” / “Us” — Digi Invent, a digital agency based in Lucknow, Uttar Pradesh, India.
• “Client” / “You” — Any individual, business, or entity that engages Digi Invent for services or accesses this Website.
• “Services” — Web design, WordPress development, eCommerce development, SEO, digital marketing, payment gateway integration, and any other services offered by Digi Invent.
• “Project” — A specific scope of work agreed upon between the Company and the Client.
• “Deliverables” — The final outputs produced under a Project (e.g., website files, design assets, reports).
• “Agreement” — The project proposal, invoice, or written communication that forms the contract between parties.
• “Website” — digiinvent.com and all associated pages and subdomains.

By using this Website or engaging our services, you confirm that you are at least 18 years of age, have read and agreed to these Terms, and — if acting on behalf of a company — have authority to bind that company.

Digi Invent offers the following services, subject to availability and project-specific agreements:

The exact scope of services for each project is defined in the written project proposal or invoice. Any services not explicitly listed are considered out of scope.

Our standard project workflow:

Client obligations:

• Provide all required content within the agreed timeframe.
• Provide timely feedback and approvals within 5 business days.
• Designate a single point of contact for all project communications.
• Ensure all content provided is owned or properly licensed by the Client.
• Provide necessary access (hosting, domain, CMS login) when required.

• All prices are in Indian Rupees (INR) unless otherwise specified.
• All payments are subject to applicable GST as per Indian tax regulations.
• Accepted methods: Bank transfer (NEFT/IMPS/RTGS), UPI, Razorpay, PayPal (international).
• Invoices are due within 3 business days of issuance unless otherwise agreed.
• Late payments beyond 7 days may attract a late fee of 2% per month on the outstanding amount.

• Website Design: Up to 3 rounds of revisions included per project phase.
• Content / Copywriting: Up to 2 rounds of revisions per piece of content.
• Revisions must be submitted as a consolidated list — not piecemeal over multiple messages.

• Client Content: All content, logos, images, and assets provided by the Client remain the Client’s intellectual property.
• Deliverables (upon full payment): Once all payments are cleared, final deliverables are transferred to the Client. Until full payment is received, all work remains property of Digi Invent.
• Third-Party Assets: Stock photos, premium plugins, and fonts are subject to their respective licenses. The Client is responsible for maintaining relevant licenses post-delivery.
• Portfolio Rights: Digi Invent reserves the right to showcase completed projects in our portfolio unless the Client requests confidentiality in writing.

• Digi Invent will not disclose Client business information or data to any third party without prior written consent, except as required by law.
• The Client will not disclose Digi Invent’s pricing, proprietary processes, or methodologies to third parties.
• This obligation continues for 2 years after the end of the engagement.

You agree not to use this Website or our services for any unlawful purpose, or to develop projects that promote hate speech, violence, illegal gambling, adult content without age verification, or fraudulent activities.

Digi Invent warrants that services will be performed with reasonable skill and care, and that deliverables will substantially conform to the agreed scope at the time of delivery.

Digi Invent does not warrant specific search engine rankings, advertising campaign results, or uninterrupted operation of third-party platforms.

To the maximum extent permitted by applicable Indian law, Digi Invent’s total liability to the Client shall not exceed the total amount paid by the Client for that specific project. We shall not be liable for indirect, consequential, or incidental damages, losses from third-party platform changes, or losses from the Client’s failure to maintain the website post-delivery.

• By the Client: With written notice at any point. Refunds apply as per Section 13. Work completed up to termination date remains billable.
• By Digi Invent: We may terminate immediately without refund if the Client fails to make payment after due notice, engages in abusive conduct, requests unlawful work, or provides materially false information.

Upon termination, all deliverables completed and paid for shall be provided to the Client. Work-in-progress that has not been paid for remains the property of Digi Invent.

These Terms shall be governed by the laws of India, including the Indian Contract Act 1872, IT Act 2000, Consumer Protection Act 2019, and Arbitration and Conciliation Act 1996. Disputes shall be subject to the exclusive jurisdiction of the courts of Lucknow, Uttar Pradesh, India.

Digi Invent reserves the right to modify these Terms at any time. Continued use of the Website or our services after changes constitutes acceptance of the updated Terms. Active project agreements are not affected unless mutually agreed in writing.
